Terms of Service

Effective date: September 21, 2026

These Terms cover OmniChar Cloud, the hosted service at cloud.omnichar.org, and this website. They are an agreement between you and Aesthisia Datacenters Private Limited.

They do not cover the OmniChar app. The app is free and open-source software under the GPL-3.0 license, and nothing in these Terms takes away or limits a right that license gives you.

1. Who we are and what these Terms cover

OmniChar is a product and brand of Aesthisia Datacenters Private Limited, CIN U72900UP2022PTC173847, a company incorporated in India under the Companies Act, 2013. When these Terms say “we” or “us”, they mean that company. That company is the party you are agreeing with.

• The OmniChar app is covered by the GPL-3.0 license, not by these Terms. Read the license for what you may do with the software, and the source for what it does.
• OmniChar Cloud, the hosted service at cloud.omnichar.org, is governed by these Terms.
• omnichar.org, this website, is covered at the level of normal site use: read it, learn from it, download what we publish.

How we handle personal data is set out in our Privacy Policy, which is part of these Terms.

2. Eligibility

You must be 18 or older to use OmniChar Cloud. Accounts are personal. One person gets one account, and you must not share your account with anyone else or open a second one to get around a limit or a suspension.

3. Your account

You sign in to OmniChar Cloud with Google. We receive your name, email address and profile picture from that sign-in, as described in our Privacy Policy. Keep your Google account secure, because whoever can sign in to it can use your OmniChar Cloud account.

You are responsible for everything that happens on your account, including runs it starts and credits it spends. If you create an API key, you are responsible for what is done with it. Tell us at support@omnichar.org if you think someone else has access to your account.

4. Credits

Runs on OmniChar Cloud are paid for in credits. Credits have no cash value, are not transferable, and cannot be exchanged for money or for anything else outside the service.

• Promotional and complimentary credits are granted at our discretion. We can decide who gets them and how many.
• Those credits may expire, and we will say so when we grant them.
• If credits are granted or charged in error, whether by us or by a fault in the service, we may correct the balance.

Purchases, subscriptions and refunds

When you buy credits, we show the price, the credits you get and any tax before you confirm. Payment is taken by our payment provider, not by us, and the credits reach your balance once that payment clears.

Credits you have already spent are not refundable, because the compute they paid for has run. If a payment failed, a charge looks wrong, or credits did not reach your balance, email us at support@omnichar.org and we will put it right.

5. Your content

Inputs are what you upload: reference images, prompts and training data. Outputs are what the service generates for you, including images, video and .char files. Together we call them your content.

• You keep whatever rights you already have in your inputs. We do not take them.
• As between you and us, you own the outputs, to the extent the law allows anyone to own them. Whether a generated image is protected by copyright at all is a question of law, not something we can decide for you.
• You grant us a limited licence to host, process, store and transmit your content, for the sole purpose of providing and securing the service. That licence ends when you delete the content, other than for backups we have not yet rotated out.
• We do not use your inputs or your outputs to train models.

We may look at your content when we have a reason to: a safety concern, a report of abuse, or a legal request we have to answer. We do not review everything that passes through the service, and you should not assume that anything you upload has been checked. What we do with the personal data inside your content is set out in our Privacy Policy.

6. Likeness and consent

If your inputs show a real, identifiable person, you must have that person’s consent, or another legal right, to create a character from their likeness and to use what you make with it. If the person is not you, get their permission first. Our Privacy Policy explains how we handle images that can identify someone.

You must not create or use a character of a real person to:

• deceive anyone about what that person said or did
• harass, bully or intimidate that person or anyone else
• defame that person
• impersonate that person, including to their family, employer or bank
• commit fraud, or obtain money, credentials or access
• place that person in sexual content without their consent

7. .char files and provenance

A .char file records how the character in it was made. That record is the point of the format, and it only works if it is honest.

• You must not remove or alter the provenance or signature information inside a .char file.
• You must not forge provenance or signature information in a .char file.
• You must not present a .char file as verified, signed or issued by us when it is not.

8. Acceptable use

The list below follows Rule 3(1)(b) of India’s Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, written in plain language. You must not upload, generate, store or share content that:

• is sexual content involving a minor, or involving anyone who appears to be a minor, in any form, including drawn, animated or generated
• is an intimate image of a person who did not consent to it being made or shared
• is obscene or pornographic, invades someone’s privacy including their bodily privacy, or is harmful to a child
• insults or harasses someone on the basis of their gender, or is racially or ethnically offensive
• promotes enmity between groups, or encourages money laundering or gambling
• belongs to someone else and you have no right to, or infringes a patent, trademark, copyright or other proprietary right
• impersonates another person, or misleads anyone about who made it or where it came from
• is knowingly false or misleading, published to mislead or harass a person, an organisation or an agency for financial gain or to cause harm
• is election or political disinformation using a real person, including a fabricated statement, endorsement or appearance by a candidate or an official
• threatens the unity, integrity, defence, security or sovereignty of India, its friendly relations with other states, or public order, or incites an offence or obstructs the investigation of one
• contains a virus or any other code designed to interrupt, destroy or limit the functioning of a computer system
• breaks any law in force

You must also not:

• scrape the service, or access it by any means other than the interfaces we provide
• reverse engineer the hosted service or the infrastructure behind it
• get around a credit limit, an access limit or a rate limit, including by opening extra accounts
• resell access to the service, or run it as a service for other people
• probe or attack our systems, or anyone else’s, through the service

None of this restricts what you may do with the OmniChar app itself, which is yours under the GPL-3.0 license. It is about the hosted service.

9. Third-party models and services

OmniChar Cloud runs open-weight models, and some of them carry their own licences. Several of those licences restrict commercial use. Following the licence of a model you choose to run is your responsibility, and we cannot grant you rights the model author did not give us.

Hosted providers reached through OmniChar, such as fal.ai, have their own terms, and your use of them is governed by those terms as well as these.

10. Reporting content and complaints

If something on OmniChar Cloud breaks these Terms, or infringes your rights, tell us and we will deal with it.

We acknowledge every complaint within 24 hours of receiving it, and we aim to resolve it within 15 days.

Copyright and likeness complaints

Send the following to the address above:

• your name, and how we can reach you
• a link to the content, or enough detail for us to find it
• what is wrong with it: the work you own and where it is published, or that the content shows you and you did not consent to it
• a statement that you believe in good faith that the content is not authorised, and that what you have told us is accurate

We acknowledge your complaint within 24 hours. We then review it, and where the complaint is made out we remove or restrict access to the content. We tell you the outcome, and we tell the person who uploaded it what was removed and why, so they can respond. If we get it wrong, either of you can write back and we will look again.

11. Suspension and termination

We may suspend or end your access if you break these Terms, if your account is being used for abuse, or if we are required to by law. Where we can do so safely and lawfully, we will tell you why.

You can stop using OmniChar Cloud whenever you like, and you can ask us to delete your account by emailing support@omnichar.org.

When an account closes, we delete the content that belongs to it, as described in our Privacy Policy. Download anything you want to keep first. Unused credits are cancelled when an account closes.

12. Disclaimers

OmniChar Cloud is provided as is and as available. It is early software running on infrastructure we rent, runs can fail, and we make no promise that it will work when you need it to. Keep your own copies of anything you care about.

Generated output can be inaccurate, unexpected, offensive, or close to something that already exists. A model can produce a face, a logo or a composition that resembles work it was trained on. You are responsible for reviewing output before you publish it, sell it, or rely on it for anything.

13. Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential loss, for lost profits or revenue, for lost data, or for loss of goodwill, however it arises.

Our total liability to you for all claims relating to the service is capped at the amount you paid us in the 12 months before the claim arose. If you paid us nothing in that period, the cap is ₹5,000.

Nothing here excludes liability that cannot be excluded under Indian law, including liability for fraud.

14. Indemnity

You will cover us for claims, losses and costs, including reasonable legal fees, that arise from your content or from your breach of these Terms. That includes a claim that your content infringes someone’s intellectual property, and a claim brought by a person whose likeness you used.

15. Changes to these Terms

We may update these Terms. When we do, we change the effective date at the top of this page. For material changes we give notice by email or in the app, and you will see a notice the next time you sign in to OmniChar Cloud.

16. Governing law

These Terms are governed by the laws of India. Any dispute relating to them is subject to the courts at Gurugram, Haryana.
